Priority Shipper definition

Priority Shipper means a Shipper with which Gatherer has executed a COGA for Priority Service on the Gathering System and such COGA provides for a term of at least ten (10) years and either

Priority Shipper means a Shipper with which Gatherer has executed a COGA for Priority Service on the Gathering System and such COGA provides for: (i) a minimum term and (ii) Shipper has committed (A) to deliver a specified minimum volume of Crude Oil to the Gathering System pursuant to such COGA; (B) to a minimum acreage dedication of all Crude Oil produced from a minimum number of acres pursuant to such Priority Shipper’s COGA; or (C) to deliver all Crude Oil owned or controlled by such shipper within a given area that is reasonably expected to include an equivalent volume of Crude Oil as the minimum acreage dedication agreed to in (B), in accordance with the terms of an applicable COGA.

Priority Shipper means a Shipper that has executed and has an effective TSA(s) with Carrier pursuant to which such Shipper has made a specified dedication for transportation of Raw Make on the System.

• If an event of Force Majeure or other operational issue causes System Capacity to be reduced for the Proration Month, the allocation of System Capacity to each Priority Shipper under this Item 7(C) shall be reduced by the same percentage as the reduction in System Capacity that is caused by the Force Majeure event or operational issue.

• In order to qualify for this 12 Year Term Committed Rate, a Priority Shipper must have entered into a COGA with a minimum term of 12 years and made an acreage dedication covering at least 2,000 acres of lands located in Winkler County, Texas or Loving County, Texas.

Priority Shipper means either an Acreage Dedication Shipper, a Plant Dedication Shipper, or a VC Shipper.

Priority Shipper shall have the meaning given to such term in the Tariff.

Priority Shipper means Shipper and any other Shipper whose COGA provides for a term of at least ten (10) years and either (i) a commitment to deliver a specified volume of Crude Oil on the Gathering System of at least 2,000 BPD, or (ii) with respect to a Priority Shipper that has not committed to deliver a specified volume of Crude Oil, but has made an acreage dedication pursuant to such Priority Shipper’s COGA, a dedication of Interests covering at least 2,000 net acres of lands located in Xxxxxxx County, Texas, Loving County, Texas and/or Lea County, New Mexico. “Project Deadline” shall have the meaning given to such term in Section 4.5(a) of this Agreement. “Receipt Point” shall mean, a point where the custody and control of Shipper Crude Oil transfers from Shipper to Gatherer located at the inlet flange of Gatherer’s LACT through which such Shipper Crude Oil flows into the Gathering System. “Services” shall mean receipt, gathering and transportation on the Gathering System of Crude Oil for Shipper’s account from the Receipt Point(s) and delivery to the Delivery Point(s) specified in Shipper’s Nomination, together with all other services to be provided by Gatherer as contemplated in this Agreement. “Shipper” shall have the meaning given to such term in the preamble of this Agreement. “Shipper Crude Oil” shall have the meaning given to such term in Section 3.1 of this Agreement. “Shipper Default” shall have the meaning given to such term in Section 19.1 of this Agreement. “Shipper Default Notice” shall have the meaning given to such term in Section 19.2 of this Agreement. “Shipper Indemnified Party” means Shipper and its Affiliates, and all of its and their respective equityholders, partners, members, directors, officers, managers, employees, agents and representatives. “Shipper’s Maximum Daily Quantity” or “MDQ” shall mean, with respect to any Contract Year, the volume of Crude Oil (expressed in BPD) set forth for such Contract Year in the table captioned “MDQ” in Exhibit B attached hereto, for which Shipper shall receive Priority Service as set forth in Section 6.2 hereof.
