Prior Transfer means (a) a transfer prior to the date of this Agreement of any SpinCo Asset from RemainCo or any its Subsidiaries included in the RemainCo Group to SpinCo or any other entity included in the SpinCo Group, (b) an assumption prior to the date of this Agreement by SpinCo or any other entity included in the SpinCo Group of any of the SpinCo Liabilities from RemainCo or any of its Subsidiaries included in the RemainCo Group, (c) a transfer prior to the date of this Agreement of any RemainCo Asset from SpinCo or any other entity included in the SpinCo Group to RemainCo or any of its Subsidiaries included in the RemainCo Group, or (d) an assumption prior to the date of this Agreement by RemainCo or any of its Subsidiaries included in the RemainCo Group of any of the RemainCo Liabilities from SpinCo or any other entity included in the SpinCo Group.

Prior Transfer means (i) a transfer prior to the date of this Agreement of any Nuvectra Asset from Greatbatch or any other member of the Greatbatch Group to Nuvectra or any other member of the Nuvectra Group, (ii) an assumption prior to the date of this Agreement by Nuvectra or any other member of the Nuvectra Group of any of the Nuvectra Liabilities from Greatbatch or any other member of the Greatbatch Group, (iii) a transfer prior to the date of this Agreement of any Greatbatch Asset from Nuvectra or any other member of the Nuvectra Group to Greatbatch or any other member of the Greatbatch Group, or (iv) an assumption prior to the date of this Agreement by Greatbatch or any other member of the Greatbatch Group of any of the Greatbatch Liabilities from Nuvectra or any other member of the Nuvectra Group.

• Nothing contained in Section 3.1(a) or (b) shall impair any right of any Person to enforce a Prior Transfer Agreement, this Agreement, any Ancillary Agreement or any agreements, arrangements, commitments or understandings that are specified in, or are contemplated to continue pursuant to, a Prior Transfer Agreement, this Agreement or in any Ancillary Agreement.
