Prior Indebtedness definition

Prior Indebtedness means the Indebtedness and obligations specified on Schedule 11.1 hereto.
Prior Indebtedness has the meaning specified in the recitals to this Agreement.
Prior Indebtedness means all Indebtedness outstanding under the Prior Credit Documents on the date hereof.

Examples of Prior Indebtedness in a sentence

  • The Indebtedness arising under this Agreement is a renewal, extension and restatement on revised terms of (but not an extinguishment or novation of) the Prior Indebtedness and, from and after the date hereof, the terms and provisions of the Prior Credit Documents shall be superseded by the terms and provisions of this Agreement.

  • The Administrative Agent shall have received customary pay-off letters and lien termination documentation (which shall release the applicable lender’s Lien’s on all assets of the Borrower Group Companies) relating to all such Prior Indebtedness.

  • The Borrowers shall use the proceeds of the Loans solely as follows: (a) to refinance on the Closing Date, Prior Indebtedness, (b) to pay costs and expenses required to be paid pursuant to Section 2.1, (c) to finance Permitted Acquisitions and (d) for working capital and other general corporate purposes not in contravention of any Requirement of Law and not in violation of this Agreement.
