Prior Holders definition

Prior Holders means Tortoise MWEP, L.P., a Kansas limited partnership, and each investor a party to the Registration Rights Agreement dated June 13, 2003 by and among MarkWest and each party listed on Schedule A thereto.

Prior Holders shall have the meaning set forth in Section 9.7.

• If any Holder proposes to conduct an Underwritten Offering under a Mandatory Shelf Registration Statement, such Holder shall advise the Company, all other Holders, and any Prior Holders whose securities are included in the Mandatory Shelf Registration Statement, of the managing underwriters for such proposed Underwritten Offering, such managing underwriters to be subject to the approval of the Company, not to be unreasonably withheld.

• If the Shareholder intends to distribute the Registrable Securities covered by its Registration Request by means of an underwritten offering, the Shareholder will so advise the Company as a part of the Registration Request, and the Company will include such information in any notice sent by the Company to the Prior Holders with respect to such Registration Request.

• If the Company proposes to issue any Equity Securities, it shall give the Prior Holders and the Ford Holders written notice of its intention, describing the Equity Securities, the price and the terms and conditions upon which the Company proposes to issue the same.

• In the event the Company has not sold the Equity Securities within said sixty (60) day period, the Company shall not thereafter issue or sell any Equity Securities without first offering such securities to the Purchasers, Prior Holders, Common Shareholders and Additional Shareholders who qualify under Section 3.1 above in the manner provided above.

• In addition, respondent’s out-of-title grievance was denied at Step 1A.

Prior Holders means Tortoise MWEP, L.P., a Kansas limited partnership, each investor party listed on Schedule A to the Registration Rights Agreement dated June 13, 2003, by and among Partnership and such investor parties, each investor party listed on Schedule A to the Registration Rights Agreement dated July 30, 2004, by and among Partnership and such investor parties, each investor party listed on Schedule A to the Registration Rights Agreement dated November 9, 2005, by and among Partnership and such investor parties and each investor party listed on Schedule A to the Registration Rights Agreement dated December 23, 2005, by and among Partnership and such investor parties, in each case, solely to the extent that such parties continue to have rights to a Piggyback Registration (as defined in Section 2.4) pursuant to such agreements.

Prior Holders means collectively the Original Parties and the New Investors.
