Pricing Period definition

Pricing Period means the five (5) consecutive Trading Days after the Advance Notice Date.
Pricing Period means the period beginning on the Put Notice Date and ending on and including the date that is five (5) Trading Days after such Put Notice Date.
Pricing Period means the ten (10) consecutive Trading Days preceding the relevant Put Notice Date.

Examples of Pricing Period in a sentence

  • The Closing of an Advance shall occur within one (1) Trading Day following the end of the Pricing Period for the respective Advance, whereby the Investor shall deliver to the Company (i) the Investment Amount by wire transfer of immediately available funds to an account designated by the Company and (ii) a copy of a settlement notice signed by the Investor, in the form attached hereto as Exhibit E (each a “Settlement Notice”).

  • At the end of the Pricing Period, the Purchase Price for the respective Advance Shares and Investment Amount shall be established as further provided in this Agreement.

  • For any Purchase Notice, the Company may, at its sole discretion, issue a Put Notice for an amount up to 150% of the average daily trading volume during the Pricing Period, not to exceed $500,000 or be less than $20,000, unless mutually agreed upon otherwise.

  • The Company may terminate this Agreement at any time by written notice to the Investor at least five (5) Trading Days prior to the effective date of such termination (the “Termination Date”), except that such Termination Date cannot be during any Pricing Period.

  • If the value of the Advance Shares delivered to the Investor causes the Company to exceed the Maximum Commitment Amount, then immediately after the Pricing Period the Investor shall return to the Company the surplus amount of Advance Shares associated with such Advance and the Investment Amount with respect to such Advance shall be reduced by any Investor Costs related to the return of such Advance Shares.


More Definitions of Pricing Period

Pricing Period means the three consecutive Trading Days commencing on the Advance Notice Date.
Pricing Period means, unless otherwise shortened under the terms of this Agreement, the period beginning on the Business Day immediately following the Put Date and ending on and including the date which is 20 Business Days after such Put Date.
