Premises Documents definition

Premises Documents means all reciprocal easement or operating agreements, declarations of covenants, conditions or restrictions, declarations of condominium, developer's or utility agreements with any village, town, county or other governmental authority, and any similar such agreements or declarations now or hereafter affecting the Premises or any part thereof. All terms of this Deed which are not defined above shall have the meaning set forth elsewhere in this Deed.

Examples of Premises Documents in a sentence

• The Major Leases and Premises Documents are unmodified and in full force and effect, there are no defaults (or events which with notice or the passage of time, or both, would constitute such a default) under any thereof and all conditions to the effectiveness and continuing effectiveness thereof required to be satisfied as of the date hereof have been satisfied.

• Mortgagor shall (a) use reasonable efforts to cause the due compliance and faithful performance by the other parties to the Premises Documents with and of all material obligations and agreements by such other parties to be complied with and performed thereunder, and (b) comply with and perform all of its material obligations and agreements under the Premises Documents.

• If Purchaser fails to send Seller a Notice of Termination prior to the expiration of the Due Diligence Period, Purchaser shall be deemed to have approved the Premises Documents and the Premises in all respects and Purchaser's Termination Right shall automatically and irrevocably expire.

• During the Due Diligence Period (as hereinafter defined), Purchaser may inspect the original Premises Documents (to the extent originals exist and are in Seller’s possession or reasonably available to Seller) during normal business hours and may photocopy same at Purchaser's expense.

• As to each Property, the Premises Documents and all leases are unmodified and in full force and effect, there are no defaults under any thereof, and all conditions to the effectiveness and continuing effectiveness thereof required to be satisfied as of the date hereof have been satisfied.

More Definitions of Premises Documents

Premises Documents means, for each Property, the REA for such Property and the other “Premises Documents,” as such term is defined in the Mortgage for such Property. “presence”, when used in connection with any Environmental Discharge or Hazardous Materials, means and includes presence, generation, manufacture, installation, treatment, use, storage, handling, repair, encapsulation, disposal, transportation, spill, discharge and release.

Premises Documents means, for each Property, any REA for such Property and the other "Premises Documents," as such term is defined in the Mortgage for such Property.
