Preferred Redemption Amount definition

Preferred Redemption Amount means, with respect to any class or series of Preferred Units, the sum of (i) the amount of any accumulated Preferred Distribution Shortfall with respect to such class or series of Preferred Units, (ii) the Preferred Distribution Requirement with respect to such class or series of Preferred Units to the date of redemption and (iii) the Preferred Redemption Price indicated in the Preferred Unit Designation with respect to such class or series of Preferred Units.
Preferred Redemption Amount means the aggregate cash amount required to redeem in full and in cash all Preferred Stock (including all accrued but unpaid dividends, premiums and penalties, if any, thereon or related thereto) as of the Effective Time pursuant to the Certificate of Incorporation.
Preferred Redemption Amount means the cumulative priority amounts paid to the holders of the Company Preferred Stock equal to their respective redemption prices as determined in accordance with the Certificate of Incorporation and in accordance with their respective ownership of Company Preferred Stock as set forth on Schedule 2.3(b).

More Definitions of Preferred Redemption Amount

Preferred Redemption Amount means an amount equal to one hundred percent (100%) of the applicable Original Purchase Price.
