Each Preference Shareholder shall exercise its right by delivering to the Selling Shareholder, within five (5) Business Days after receipt of the Expiration Notice, written notice of its intention to participate, specifying the number of Ordinary Shares such Preference Shareholder desires to sell to the Proposed Transferee.
Upon receipt of the Transfer Notice, the Company shall forthwith by notice in writing inform each Preference Shareholder and Founder, of the number of the Transfer Shares and the Transfer Price and invite such Preference Shareholders and Founders to apply in writing to the Company within fourteen (14) days of the date of despatch of the notice (which date shall be specified therein), for such maximum number of the Transfer Shares (being all or any thereof) as it shall specify in such application.
At the closing of the transaction, such Preference Shareholder shall deliver one or more certificates representing the number of Ordinary Shares which it elects to sell hereunder together with instrument of transfer and other documents necessary for transfer of such Ordinary Shares to the Proposed Transferee, and the Selling Shareholder shall procure that the Proposed Transferee shall pay to such Preference Shareholder a pro rata amount of the purchase price received from the Proposed Transferee.
In the event that any Preference Shareholder transfers any of its Shares pursuant to any of Clauses 7.10.1, 7.10.2, 7.10.3 or 7.10.4, the transferee thereof shall have the same rights and obligations under this Agreement as those enjoyed by the transferring Preference Shareholder.
The Company agrees that it will, upon service of the Put Option Notice by a Preference Shareholder, purchase from such Preference Shareholder, free from Encumbrances and with all rights attaching thereto on the Put Option Completion, the Option Shares at the Put Option Price (the “Put Option Proportion”).
