Predecessor Agreement definition

Predecessor Agreement has the meaning ascribed to it in the Recitals.

Predecessor Agreement means the Second Amended and Restated Financing Agreement and Guaranty, dated as of December 31, 1996, among Specialty Paperboard, Inc., as borrower, Specialty Paperboard/Endura, Inc., CPG Investors Inc., CPG Holdings, Inc., CPG-Xxxxxx Xxxx Inc., Custom Papers Group Inc., Arcon Holdings Corp., and Arcon Coating Xxxxx Inc., CITBC, the other lenders, if any, that subsequent to the date thereof, purchased from CITBC a portion of its rights and obligations thereunder pursuant to, and in accordance with, Section 14.07 thereof, and CITBC as agent for the lenders. PREPAYMENT FEE shall mean the fee payable to the Agent for the ratable benefit of the Lenders in accordance with, and pursuant to, the provisions of Section 6.03 of this Financing Agreement.
