Employee shall retain all of Employee’s ownership rights, title and interests, if any, in and to any Employee Pre-Existing Work.
Employee shall not use or disclose any Employee Pre-Existing Work for which Employee is not fully authorized to grant the foregoing license.
Employee will promptly disclose to the Company any modifications or improvements to any Pre-Existing Work Product that fall within the definition of Intellectual Property (and hereby assigns rights thereto to the Company pursuant to Section 3(a)).
Except as provided herein, Employee will retain all right, title and interest in and to such Pre-Existing Work Product.
Either party may create new technology, written materials, or proofs of concept under this agreement that do not include any Pre-Existing Work or Improvements (“Developments”).
