Pre-Existing Work definition

Pre-Existing Work means any computer code or other written materials developed or otherwise obtained independent of this Agreement.
Pre-Existing Work means any computer code or non-code based written materials developed or otherwise obtained independent of Customer’s volume licensing agreement. All rights in Pre-Existing Work shall remain the sole property of the party providing the Pre-Existing Work. Each party may use, reproduce and modify the other party’s Pre-Existing Work only as needed to perform obligations related to Professional Services.
Pre-Existing Work means any material / information which is: Created, developed and/or provided prior to the Effective Date of the Agreement by either Party; or Created, developed and / or obtained independently from third party by either Party and such material / information pre-exist the Agreement and has no relation / connection with the Agreement.

Examples of Pre-Existing Work in a sentence

  • Employee shall retain all of Employee’s ownership rights, title and interests, if any, in and to any Employee Pre-Existing Work.

  • Employee shall not use or disclose any Employee Pre-Existing Work for which Employee is not fully authorized to grant the foregoing license.

  • Employee will promptly disclose to the Company any modifications or improvements to any Pre-Existing Work Product that fall within the definition of Intellectual Property (and hereby assigns rights thereto to the Company pursuant to Section 3(a)).

  • Except as provided herein, Employee will retain all right, title and interest in and to such Pre-Existing Work Product.

  • Either party may create new technology, written materials, or proofs of concept under this agreement that do not include any Pre-Existing Work or Improvements (“Developments”).


More Definitions of Pre-Existing Work
