Pre-Existing Materials definition

Pre-Existing Materials means the pre- existing materials (a) specified in a Statement of Work, including all documents, data, know-how, methodologies, software and other materials, including computer programs, source code, reports and specifications, or (b) provided by or used by Service Provider in connection with performing the Services, in each case developed or acquired by the Service Provider prior to the commencement of this Agreement.
Pre-Existing Materials means [the documents and materials of Marketer set forth on Schedule [NUMBER] hereto/any documents, data, know-how, methodologies, software, and other materials[, including computer programs, reports, and specifications,] provided by or used by Marketer in connection with performing the Services, in each case developed or acquired by the Marketer prior to the commencement [or independently] of this Agreement. The Marketer shall defend, indemnify, and hold harmless the Client, along with its officers, directors, employees, agents, Affiliates, successors, and permitted assigns from and against any and all losses arising out of or resulting from any third-party [or direct] claim alleging that any of the Services or Deliverables, or the Client’s receipt or use thereof, infringes upon any third-party Intellectual Property Rights.
Pre-Existing Materials means all Documents, information and materials provided by the Supplier relating to the Services which existed prior to the commencement of this agreement, including computer programs, data and reports;

Examples of Pre-Existing Materials in a sentence

  • Nothing in this Agreement shall be construed to grant to either party any ownership or other interest, in the Confidential Information, Pre-existing Materials, or Customer Data, except as may be provided under a license specifically applicable to such Confidential Information, Pre-existing Materials, or Customer Data.

  • The following sections shall survive any termination or expiration of this Agreement: Section 3 (Project Contacts), Section 7 (Confidentiality), Section 8 (Educational Data), Section 9 (Promotion), Section 10 (Ownership and License), Section 11 (Pre-existing Materials), and Section 13 (Indemnification).

  • Except as expressly set forth herein, no license is granted by either party to the other with respect the Confidential Information, Pre-existing Materials, or Customer Data.

  • Red Wing Public Schools shall not obliterate or remove and will reproduce i3 Works’ intellectual property notices contained in the Pre-existing Materials.


More Definitions of Pre-Existing Materials

Pre-Existing Materials means all tangible items and materials conceived, developed and reduced to practice prior to or wholly independent of Subcontractor’s performance of any Work hereunder.
Pre-Existing Materials means any materials, processes, techniques, and know-how, including Intellectual Property Rights, (i) made, created, and/or reduced to practice prior to the Effective Date of this Agreement or (ii) made, created, and/or reduced to practice solely by either party from activities which are independent from or outside the performance or framework of this Agreement without the use of the other Party’s Confidential Information.
Pre-Existing Materials means all documents, information and materials provided by Us relating to the Service which existed prior to the Effective Date, including data, reports and specifications and any such pre-existing materials specified in the Proposal or Rfp.
Pre-Existing Materials means materials which existed before the commencement of the Services.
Pre-Existing Materials means any data, formulas, know-how, calculations, compositions, programs, technology, and any other knowledge or information developed or otherwise created by or for HSI prior to the Services, outside the scope of the Services, or that have general applicability to HSI’s business, including all modifications, improvements, or enhancements thereto and derivative works thereof.
Pre-Existing Materials means any Intellectual Property Rights that a Party developed, acquired or otherwise has rights in or to, either outside the scope of and independent from this Agreement, or was developed or acquired by a Party prior to entering into this Agreement.
Pre-Existing Materials means any Intellectual Property Rights that a Party developed, acquired or otherwise has rights in or to, either outside the scope of and independent from the SOW, or if related to the scope of the SOW was developed or acquired by a Party prior to commencing services under the SOW.
