PRC Operating Entities means Dissector (Beijing), Gridsum Technology, Guoxinjunhe, Moment Everlasting, Beijing Yunyang, Beijing Yizhun, Guoxinwangyan and Gridsum Holding (Beijing).Based on the foregoing, and subject to the qualifications, assumptions and limitations stated herein, we are of the opinion that:
