PRC Authorities definition
PRC Authorities means any national, provincial or local governmental, regulatory or administrative authority, agency or commission in the PRC, or any court, tribunal or any other judicial or arbitral body in the PRC.
PRC Authorities means any national, provincial, municipal or local governmental authority, agency or body in the PRC having jurisdiction over any of the PRC Group Companies;
PRC Authorities means any national, provincial or local governmental, regulatory or administrative authority, agency or commission in the PRC, or any court, tribunal or any other judicial or arbitral body in the PRC; (B) “Governmental Authorizations” means all approvals, consents, waivers, sanctions, certificates, authorizations, filings, registrations, exemptions, permissions, annual inspections, qualifications, permits and licenses required by any PRC Authorities pursuant to any PRC Laws; (C) “PRC Subsidiaries” means the subsidiaries incorporated by the Company in the PRC, i.e. (i) Wenzhou Wenjie Information Technology Co. Ltd., (ii) Zhejiang Leiya Electronics Co. Ltd., and (iii) Wenzhou New Focus Technology & Electronic Co., Ltd.; (D) “M&A Rules” means the Regulations on Mergers and Acquisitions of Domestic Enterprises by Foreign Investors, which was issued by six PRC regulatory agencies, namely, the Ministry of Commerce, the State-owned Assets Supervision and Administration Commission, the State Administration for Taxation, the State Administration for Industry and Commerce, the China Securities Regulatory Commission (the “CSRC”) and the State Administration for Foreign Exchange, on August 8, 2006 and became effective on September 8, 2006, as amended by the Ministry of Commerce on June 22, 2009; and (E) “Prospectuses” mean the prospectus, including all amendments or supplements thereto, that form parts of the Registration Statement. In so acting, we have examined the originals or copies, certified or otherwise identified to our satisfaction, provided to us by the Company, the PRC Subsidiaries, and such other documents, corporate records, certificates, Governmental Authorizations and other instruments as we have deemed necessary or advisable for the purpose of rendering this opinion, including, without limitation, the certificates issued by the PRC Authorities and officers of the Company (collectively, the “Documents”). In reviewing the Documents and for the purpose of this opinion, we have assumed:
Examples of PRC Authorities in a sentence
Each of the members of the Group that is a PRC person has passed each annual examination by the applicable PRC Authorities without being found to have any material deficiency or to be in material default under applicable PRC Laws and has timely received all requisite certifications from each applicable PRC Authority.
The registered capital of each of the Domestic Companies has been timely paid in due course by the relevant shareholders of each such Domestic Company in accordance with its respective articles of association and/or joint venture agreements and are directly or indirectly owned by the Company; each of the Domestic Companies has been approved and registered by the relevant PRC Authorities for the ownership interest directly or indirectly owned by the Company.
Each of the Domestic Companies has obtained the relevant licenses, consents, authorizations, approvals, orders, certificates and permits of and from the PRC Authorities (“Governmental Authorizations”) as described in the Disclosure Schedule[Note: subject to the disclosure in the Disclosure Schedule] to conduct their respective business as described in their business licenses.
Each of the Domestic Companies has been duly approved and registered by the relevant PRC Authorities for its establishment and the maintenance of its status and existence as an enterprise legal person.
The business license, articles of association and/or other constitutive documents of each of the Domestic Companies approved and/or issued by the relevant PRC Authorities comply with the applicable requirements of the PRC laws and are in full force and effect in all material aspects.
More Definitions of PRC Authorities
PRC Authorities means any and all national, provincial or local governmental, regulatory or administrative authorities, agencies or commissions in the PRC, or any courts, tribunal or any other judicial bodies in the PRC;
PRC Authorities means any national, provincial or local governmental, regulatory or administrative authority, agency or commission of the PRC having jurisdiction over applicable parties; and (C) "Approvals" means all approvals, consents, certificates, authorizations, filings, registrations, exemptions, permissions, annual inspections, qualifications, permits and licenses issued by any PRC Authorities pursuant to the PRC Law. For the purpose of giving this opinion, we have examined the originals or copies, certified or otherwise identified to our satisfaction, of documents provided to us and such other documents, corporate records, certificates issued by governmental authorities in the PRC and other instruments as we have deemed necessary or advisable for the purpose of rendering this opinion, including but not limited to copies of the Agreements. In such examination, we have assumed: (i) the genuineness of all signatures and the authenticity of all documents submitted to us as originals; (ii) the conformity to originals of all documents submitted to us as certified or reproduced copies; (iii) that all factual statements made in all documents are true and correct in all material respects; and (iv) that all parties to the documents (other than Target Multi Media and Shanghai Target Media) have full power and authority to enter into, and have duly executed and delivered, such documents. Where important facts were not independently established to us, we have relied upon certificates issued by governmental authorities and appropriate representatives of Target Media and/or other relevant entities and/or upon representations made in, or pursuant to, the Agreements. We have not made any investigation of, and do not express any opinion on, the laws of any jurisdiction other than the PRC. Based on the foregoing and subject to any matter not disclosed to us, we are of the opinion that:

In examination of the documents and for the purpose of giving this opinion, we have assumed without further inquiry:
PRC Authorities means any competent national, provincial, municipal or local government authorities, courts, arbitration commissions, or regulatory bodies of the PRC having jurisdiction over PRC Entities in the PRC.
PRC Authorities means any governmental authority of the PRC other than MOFCOM, NDRC and SAFE;
PRC Authorities means any national, provincial, municipal or local governmental authority, agency or body in the PRC having jurisdiction over the PRC Subsidiary;
