Borrower hereby covenants and agrees not to commit, permit or suffer to exist, and shall not permit Pledgor, Pledgee, Operating Lessee or Pledgee Subsidiaries to commit, permit or suffer to exist, any act or omission affording such right of forfeiture.

None of Borrower, Operating Lessee, Pledgor, Pledgee or Pledgee Subsidiaries (a) has entered into the transaction or executed the Note, this Agreement or any other Loan Documents to which it is a party with the actual intent to hinder, delay or defraud any creditor and (b) has received, giving effect to the Loan, reasonably equivalent value in exchange for its obligations under the Loan Documents to which it is a party.
Pledgee Subsidiaries each possess all rights, licenses, permits and authorizations, governmental or otherwise, necessary to entitle it to own the applicable Collateral and to transact the businesses in which it is now engaged.
