Upon the enforcement by direct payment, without any authorization from the Guarantors being required, the Secured Party shall become the owner of the Pledged Assets.
The Guarantors, following the instructions of the Secured Party, shall proceed with the transfer of the Pledged Assets to the purchaser by way of commercial purchase.
The Secured Party shall consider the interest of the Guarantors and shall seek to obtain the best price terms for the Pledged Assets from third parties.
For the awarding of the Pledged Assets a plurality of Participants will not be necessary.
Pledged Assets Any and all (i) future production of minerals emanating from the Concessions, the Concession Applications and the Granted Concessions (as such terms are defined in this Agreement), (ii) future production of the Products of the Concessions, the Concession Applications and the Granted Concessions (as such terms are defined in this Agreement), and (iii) proceeds derived from the sale or other transfer of (i) and/or (ii) above, all in accordance with Articles 238 to 240 of the Mining Code.
