Plan Support Agreement definition

Plan Support Agreement means that certain Plan Support Agreement, dated as of August 9, 2015 (as amended on September 11, 2015, October 27, 2015, and November 12, 2015, and as may be amended, supplemented, or otherwise modified from time to time in accordance therewith), by and among the Debtors, the Original Plan Sponsors, the TCEH Supporting First Lien Creditors, the TCEH First Lien Agent, the TCEH Supporting Second Lien Creditors, the TCEH Committee, and certain other Entities, including all exhibits and schedules attached thereto.

Plan Support Agreement has the meaning set forth in the Recitals.

Plan Support Agreement means that certain Plan Support Agreement entered into on December 10, 2017 by and among the Debtors, the Owners, the Consenting Lenders, and any subsequent Entity that becomes a party thereto pursuant to the terms thereof.

Examples of Plan Support Agreement in a sentence

• This Plan may be amended, modified, or supplemented by the Debtors, subject to the consent rights set forth in the Plan Support Agreement, in the manner provided for by section 1127 of the Bankruptcy Code or as otherwise permitted by law, without additional disclosure pursuant to section 1125 of the Bankruptcy Code, except as otherwise ordered by the Bankruptcy Court.

• The contractor’s personnel performing the inspections, testing, maintenance and/or repair service shall initial and date all items on the Monthly Service Log as service is performed.

• No Termination Event (as defined in the Plan Support Agreement) has occurred and terminated the Plan Support Agreement.

• Notwithstanding any provision in the Plan, the Plan Support Agreement, the Equity Commitment Agreement, or the Rights Offering Procedures to the contrary, the Debtors shall not be obligated under the Claims Conversion Sub Plan to, and shall not, honor any purported exercise of Subscription Rights or Oversubscription Rights or the satisfaction of the Direct Commitment or Backstop Commitment.

• The Debtors reserve the right, subject to, and in accordance with, the terms of the Plan Support Agreement, to revoke or withdraw the Plan before the Confirmation Date and to file subsequent chapter 11 plans.

More Definitions of Plan Support Agreement

Plan Support Agreement means the agreement among the Company and each Investor to support the Plan, attached as Exhibit H hereto.
