If the PID Bonds have not been issued, the Owner shall pay the inspection fee which shall be included in the Actual Cost and may later be reimbursed to Owner when PID Bonds are issued.
The Authorized Improvements to be constructed and funded in connection with the PID Bonds are detailed on the chart attached hereto as Exhibit “D” and the Service and Assessment Plan.
The Parties anticipate that the cost to construct the Authorized Improvements will be greater than the proceeds of the PID Bonds available for Authorized Improvements.
At the closing of the PID Bonds, Owner shall be reimbursed an amount equal to the applicable Owner Expended Funds and such amount shall be transferred to the Trustee for distribution to the Owner or the Owner’s designee.
Once approved, the PID Bonds shall be issued by the City and may be marketed and sold through negotiated sale to an approved third party with the cooperation and assistance of the Owner in all respects with respect to the preparation of marketing documents, such as preliminary and final official statements or in such other marketing and/or sales method mutually agreed upon by the City and the Owner.
