Performance Pricing Determination Date definition

Performance Pricing Determination Date has the meaning set forth in Section 2.06(a).
Performance Pricing Determination Date means each date on which the Debt Rating changes. Each change in interest and fees as a result of a change in Debt Rating shall be effective only for Loans (including Refunding Loans) which are made on or after the relevant Performance Pricing Determination Date. All determinations hereunder shall be made by the Agent unless the Required Banks or the Borrower shall object to any such determination. The Borrower shall promptly notify the Agent of any change in the Debt Rating.
Performance Pricing Determination Date means each date on which the Debt Rating changes.

For purposes of this definition, if there is no Debt Rating in effect on a Performance Pricing Determination Date there shall nevertheless be deemed to be a Debt Rating in effect on such date which is below Standard and Poor's BBB- rating and below Xxxxx'x Investor Service Baa3 rating.
