Performance-Based Compensation definition

Performance-Based Compensation means compensation qualifying as “performance-based compensation” under Section 162(m) of the Code.
Performance-Based Compensation means any compensation that is intended to qualify as “performance-based compensation” as described in Section 162(m)(4)(C) of the Code.
Performance-Based Compensation means compensation under an Award that is intended to satisfy the requirements of Code Section 162(m) for certain performance-based compensation paid to Covered Employees. Notwithstanding the foregoing, nothing in this Plan shall be construed to mean that an Award which does not satisfy the requirements for performance-based compensation under Code Section 162(m) does not constitute performance-based compensation for other purposes, including Code Section 409A.

Examples of Performance-Based Compensation in a sentence

  • XX (c) Performance-Based Compensation earned in a period of 12 months or more.

More Definitions of Performance-Based Compensation

Performance-Based Compensation means any Option or Award that is intended to constitute "performance based compensation" within the meaning of Section 162(m)(4)(C) of the Code and the regulations promulgated thereunder.
