Performance Amount definition

Performance Amount means, with respect to a PLP on a specified date, (i) in the case of a Redemption, a number of Performance Units equal to (a) the amount of such PLP's Capital Account balance immediately following the revaluation of the Partnership's assets as of such date pursuant to the definitions of "Gross Asset Value" (paragraph (ii) therein) and "Net Income" (paragraph (iii) therein), divided by (b) the Fair Market Value of a REIT Share; and (ii) in the case of an exchange of Performance Units for the REIT Shares Amount, the same number of Performance Units as determined pursuant to subparagraph (i) above.

Examples of Performance Amount in a sentence

  • Notwithstanding the foregoing, a PLP shall not have the right to require the Partnership to redeem, and the Partnership may not redeem, (i) a number of Performance Units held by such PLP in excess of the Performance Amount; or (ii) any Performance Units prior to the second anniversary of their issuance.

More Definitions of Performance Amount

Performance Amount means, with respect to each Incentive Allocation Period for each Limited Partner, an amount equal to: (i) the Unit Price as of the end of such Incentive Allocation Period multiplied by the number of Units held by such Limited Partner as of the end of such Incentive Allocation Period (before giving effect to the Incentive Allocation and any corresponding adjustment in Units as of the end of such Incentive Allocation Period), plus (ii) the aggregate amount distributed to or deemed distributed to such Limited Partner during such Incentive Allocation Period or to the General Partner as a Tax Distribution with respect to such Limited Partner during such Incentive Allocation Period (provided that, to avoid double-counting, any future increases in distributions to such Limited Partner or increases in the value of the Units held by such Limited Partner resulting from the application of such Tax Distribution to reduce future Incentive Allocations shall be excluded from calculations of such Limited Partner’s Performance Amount) minus (iii) the Unit Price as of the beginning of such Incentive Allocation Period multiplied by the number of Units held by such Limited Partner as of the beginning of such Incentive Allocation Period, minus (iv) the aggregate amount of Capital Contributions (including deemed Capital Contributions, as provided herein) made by such Limited Partner during such Incentive Allocation Period.
Performance Amount means, with respect to each Incentive Allocation Period, calculated separately for the aggregate Units of a Limited Partner issued in respect of the aggregate Capital Contributions made by such Limited Partner with respect to each Commitment of each Limited Partner or, in the case of a Feeder Fund, each separate portion of such Feeder Fund’s Units, the following amount: (a) such Limited Partner’s proportionate share of the Ending Value in respect of such Units minus (b) such Limited Partner’s proportionate share of the Beginning Value in respect of such Units; provided that for greater certainty, a Limited Partner’s Performance Amount shall take into account any partial redemptions by such Limited Partner with respect to such Units in accordance with Section 5.03(c). For the avoidance of doubt, the Performance Amount shall appropriately take into account (x) the aggregate amount and timing of all Capital Contributions (recorded as of the date they are due) made by such Limited Partner and (y) the aggregate amount and timing of distributions proceeds, if any, distributed with respect to such Limited Partner over the applicable Incentive Allocation Period that were not made to such Limited Partner in connection with the redemption of Units and not otherwise previously treated as a partial redemption for purposes of calculating the Incentive Allocation in respect of such Units for a prior Incentive Allocation Period.
