BGHL has provided to Perception a true and complete copy of each of Blue Real Property Leases.
There are no outstanding requests by Perception for any extension of time within which to file any Tax Return or within which to pay any Taxes shown to be due on any Tax Return.
Perception does not have any outstanding waivers or extensions of any applicable statute of limitations to assess any material amount of Taxes.
This Agreement shall not be assigned by operation of Law or otherwise without the prior written consent of Perception and BGHL (and after the Closing, Perception), and any assignment without such consent shall be null and void; provided that no such assignment shall relieve the assigning Party of its obligations.
Perception does not own, license, or otherwise have any right, title or interest in any material Intellectual Property.
