The rights and licenses sublicensed by Carisma to Moderna with respect to any Patents and Know-How Controlled by Carisma pursuant to the Penn License Agreement (the “Penn Intellectual Property”), including, as applicable, in Sections 8.1.1(a), 8.1.2, 8.2, and in ARTICLE IX and ARTICLE X, are subject to the terms and conditions of the Penn License Agreement as applicable to the scope of Moderna’s rights and obligations under this Agreement.
In addition, at any time during the Term, Moderna shall have the right, in its sole discretion, to terminate the sublicense granted to it by Carisma of the Penn Intellectual Property under the Penn License Agreement, upon [**] prior written notice to Carisma.
