PECs definition

PECs means preferred equity certificates or any other instrument issued by any Foreign Subsidiary that is treated as equity for U.S. federal income tax purposes but is treated as indebtedness under the laws of the jurisdiction of organization of such Foreign Subsidiary.
PECs means preferred equity certificates issued by ED Midco in an aggregate nominal amount equal to the principal amount of the Triton Debt which is acquired in return thereof, for the avoidance of doubt, which in all respect is subordinated to the obligations of the Issuer or the Guarantor under these Terms and Conditions.
PECs means preferred equity certificates to be issued by Luxco in an amount and upon terms that are similar to the terms of the Second Lien Notes and the Subordinated Notes but without guarantees or Liens being granted by any Person.

More Definitions of PECs

PECs means the E Bridge preferred equity certificates, the J Bridge preferred equity certificates, E preferred equity certificates and J preferred equity certificates constituted by the PEC Instruments and issued by the Company and references to “E Bridge PECs”, “J Bridge PECs”, “E PECs” and “J PECs” shall be construed accordingly;
PECs shall have the meaning attributed to it in the Luxco 1 Shareholders Agreement or the Luxco 2 Shareholders Agreement, as appropriate;
PECs means the preferred equity certificates, par value €1.25 per certificate, issued by the Company, and, if applicable, any additional series of preferred equity certificates duly authorized and issued by the Company from time to time.
PECs means each class or series of preferred equity certificates of Holdco having the terms and conditions set forth on Exhibit A.
PECs means the series 1 preferred equity certificates duly authorized and issued by the Company from time to time.
PECs means (a) the Class A Preferred Equity Certificates, each having a par value of ten Canadian Dollars, issued by Compass International Holdings, (b) the Class B Preferred Equity Certificates, each having a par value of ten Canadian Dollars, issued by Compass International Holdings, and (d) any non-voting Equity Interests (including any interest that is treated as non-voting equity for U.S. Federal income tax purposes) that either (i) are convertible into voting Equity Interests or (ii) represent a substantial portion of the overall value of Compass International Holdings.
PECs means the Series A CPECs and the Future PECs.
