Pearl means Pearl Energy Investment Management, LLC, a Delaware limited liability company (the “Pearl Manager”), Pearl Energy Investments, L.P. and Pearl Energy Investments II, L.P., together with their respective parallel investment entities and alternative investment entities of each of the foregoing, and any future investment fund or co-investment fund managed by the Pearl Manager or any of its Affiliates, and any Affiliates of one or more of the foregoing; provided that in no event will any portfolio company of any of the foregoing be included in the definition of “Pearl”.
