Payment Agent definition
Payment Agent shall have the meaning set forth in Section 2.8(a).
Payment Agent means Odyssey Trust Company, or any other payment agent or trust company, bank or financial institution as the Company may appoint to act as payment agent with the approval of the Purchaser, acting reasonably, for the purpose of, among other things, paying the Option Premium to the Company Shareholders in connection with the Arrangement.

Each Executing Rightsholder acknowledges and agrees that the Company and the Payment Agent will be entitled to rely, without independent investigation or verification, on the accuracy and completeness of Schedule I for all purposes relating to the calculation and distribution of the Upfront Consideration and the Additional Milestone Payments (if and when payable) under this Agreement.
None of the Company, the Payment Agent or any of their respective Affiliates will be liable to any Person for any error, inaccuracy, or omission in Schedule I.
