Pari Passu Facility definition

Pari Passu Facility means any credit facility made available to a Pari Passu Note Issuer or (to the extent not prohibited under the terms and conditions of the Pari Passu Debt Documents) to any other member of the Restricted Group, in each case where:

Pari Passu Facility means any Indebtedness in a principal amount equal to or greater than $100,000,000 of any member of the Consolidated Group that, prior to becoming Secured Debt, was included in Total Unsecured Debt for purposes of calculating the covenants set forth in Section 9.13(f) and (g), and any modifications, amendments, renewals, extensions, or restructurings of any such Indebtedness.

Pari Passu Facility means the Term Loan Facility (as defined in the First Lien Credit Agreement) under the First Lien Credit Agreement dated as of March 31, 2014, including any guarantees, collateral documents, instruments and agreements executed in connection therewith, and any amendments, supplements, modifications, extensions, renewals, restatements, refundings or refinancings thereof and any indentures or credit facilities or commercial paper facilities that replace, refund or refinance any part of the loans, notes, other credit facilities or commitments thereunder (whether or not with the original administrative agent, holders, lenders, investors, underwriters, agents or other parties), including any such replacement, refunding or refinancing facility or indenture that increases the amount borrowable thereunder or alters the maturity thereof.

Examples of Pari Passu Facility in a sentence

• As of any date of calculation, the lesser of (i) the Total Commitment (less any prepayments of Term Loans) and (ii) the Unencumbered Pool Value less the Outstanding amount of all Unsecured Indebtedness other than the Obligations (including, without limitation, any Pari Passu Facility).

• Collectively, all Indebtedness of REIT Guarantor, Borrower or its direct or indirect Subsidiaries (without duplication, including the Equity Percentage of Indebtedness of Unconsolidated Affiliates) which is not Secured Indebtedness, which shall include, without limitation, the Indebtedness evidenced by this Agreement and the Indebtedness under a Pari Passu Facility.

• A., (iii) ABN AMRO and Harrxx Xxxporation, as Initial Facility Agents, (iv) the Other Pari Passu Facility Agents that may hereafter become parties thereto and (v) the Collateral Agent.

• The provisions of this Article X are solely for the benefit of the Administrative Agent, the Lenders, the L/C Issuers and the Designated Pari Passu Facility Providers, and no Loan Party shall have rights as a third party beneficiary of any of such provisions.

More Definitions of Pari Passu Facility

Pari Passu Facility means any Indebtedness of any member of the Consolidated Group that, prior to becoming Secured Indebtedness, was included in Unsecured Indebtedness for purposes of calculating the covenants set forth in Section 8.15(f) and Section 8.15(g), and any modifications, amendments, renewals, extensions, or restructurings of any such Indebtedness.

Pari Passu Facility means any credit facility made available to the Parent or any Restricted Subsidiary where any:

Pari Passu Facility means (a) the Senior Secured Facility and (b) any other credit facility made available to NAC 29 where, pursuant to Clause 18.8 (Accession of Pari Passu Creditors under new Pari Passu Notes or Pari Passu Facilities), any:

Pari Passu Facility means the “Term Facilities”, the “Revolving Credit Facility” and each “Incremental Facility”, “Sustainable Revolving Facility” in each case under and as defined in a Senior Secured Facilities Agreement (as applicable), and any other credit facility made available to any member of the Group where any:

Pari Passu Facility means the first lien pari passu credit agreement dated as of June 13, 2023, among the Issuer, Holdings, Wilmington Trust, National Association, as Administrative Agent, Sabre Financial Borrower, LLC, as lender, including any guarantees, collateral documents, instruments and agreements executed in connection therewith, and any amendments, supplements, modifications, extensions, renewals, restatements, refundings or refinancings thereof and any indentures, guarantees, credit facilities or commercial paper facilities that replace, refund, exchange or refinance (or successively replace, refund, exchange or refinance) any part of the loans, notes, guarantees, other credit facilities or commitments thereunder, including any such replacement, refunding or refinancing facility or indenture (or successive replacement, refunding, exchange or refinancing facility or indenture) that increases the amount borrowable thereunder or alters the maturity thereof; provided that such increase in borrowings is permitted under Section 4.09 and Section 4.12 hereof.

Pari Passu Facility means a Term Facility (as that term is defined in the Senior Facilities Agreement).
