Parent Stock Value definition

Parent Stock Value means the per share closing trading price of Parent Shares trading “regular way” on the Final Trading Day.
Parent Stock Value means the volume-weighted average price per share for Class A Common Stock as reported by Nasdaq for the 20 consecutive Trading Days ending on (and including) the Trading Day that immediately precedes the fifth (5th) Business Day prior to the Closing Date.
Parent Stock Value means the average closing price of one share of the common stock of Parent on the Nasdaq over the period of ten (10) consecutive trading days ending on the trading day immediately preceding the date on which the Effective Time occurs (rounded down to the nearest whole cent).

  • For avoidance of doubt, for purposes of determining the value of the Per Share Stock Consideration, the Parent Stock Value used to determine the Per Share Stock Consideration will be used.

  • The Debt Financing (both before and after giving effect to any “flex” provisions contained in the Debt Financing Commitment), will be sufficient for Parent to pay the Aggregate Merger Consideration (less the Aggregate Parent Stock Value and less the Aggregate Exercise Price), the Payoff Amount and the Selling Expenses.

  • In lieu of the issuance of any such fractional share, Parent shall pay to the Exchange Agent an amount in cash, without interest, rounded down to the nearest cent, equal to the product of (i) the aggregate number of all fractional shares of Parent Common Stock that would otherwise have been required to be issued to holders of Converted Shares under Section 2.1(a)(ii), multiplied by (ii) the Parent Stock Value.

Parent Stock Value means the volume-weighted average per-share trading price of Parent Common Stock on the five trading days immediately following the date upon which the Effective Time occurs, as reported on Bloomberg.
