Parent Indemnitee has the meaning provided in Section 7.02(a).
Parent Indemnitee has the meaning set forth in Section 10.2(a).

(i) Parent and each Affiliate thereof after giving effect to the Corporate Transactions and the Distribution; and
(ii) each of the respective past, present and future Representatives of any of the entities described in the immediately preceding clause (i) and each of the heirs, executors, successors and assigns of any of such Representatives, except in the case of clauses (i) and (ii), the SpinCo Indemnitees.

Such indemnity shall remain in full force and effect regardless of any investigation made by or on behalf of any such Parent Indemnitee, and shall survive the transfer of such securities by such Holder, and any termination of this Agreement.
