Parent Equity Awards definition

Parent Equity Awards means the Parent Stock Options, the Parent ADS Options, the Parent RSU Awards and the Parent PSU Awards.

Parent Equity Awards has the meaning set forth in Section 4.2(a).

Parent Equity Awards means Parent Stock Options, Parent Restricted Stock Awards and Parent Restricted Stock Unit Awards.

Examples of Parent Equity Awards in a sentence

• All outstanding equity securities of Parent are, and all Parent Units issuable pursuant to Parent Equity Awards, when issued in accordance with the respective terms thereof, will be, duly authorized, validly issued, fully paid and nonassessable (except as such nonassessability may be affected by matters described in Sections 17-303, 17-607 and 17-804 of the DRULPA) and free of preemptive rights (except as set forth in the Parent Agreement).

• As of the Effective Time, Merger Parent will assume this Plan and all outstanding SpinCo Equity Awards hereunder (which shall become Adjusted Parent Equity Awards) in accordance with the terms of Article IV of the Employee Matters Agreement.

• All outstanding equity securities of Parent and NGLS are, and all Parent Shares issuable pursuant to Parent Equity Awards and NGLS Common Units issuable pursuant to NGLS Equity Awards, when issued in accordance with the respective terms thereof, will be, duly authorized, validly issued, fully paid and nonassessable and free of preemptive rights.

• In no event shall the Parent Equity Awards (as defined below) be included as an Unvested Option.

• Minimum hours of operation include breakfast, lunch and dinner service 7 days a week.

Parent Equity Awards means stock options, performance-based restricted stock unit awards, and restricted stock unit awards, in each case, granted by Parent and relating to shares of Parent Common Stock, other than stock options granted to participants in the MasTec, Inc. Amended and Restated Bargaining Units ESPP and the MasTec, Inc. Amended and Restated 2011 Employee Stock Purchase Plan.

Parent Equity Awards means equity awards granted by Parent pursuant to the terms of a Parent Equity Plan.

Parent Equity Awards means any compensatory options to purchase Parent Common Stock, compensatory stock appreciation rights relating to Parent Common Stock, compensatory restricted stock awards relating to Parent Common Stock, compensatory restricted stock unit awards relating to Parent Common Stock, compensatory performance shares relating to Parent Common Stock and compensatory deferred stock units relating to Parent Common Stock.
