In the event that a warrant holder fails to deliver a Warrant Relinquishment and Release Agreement prior to the Initial Expiration Date, such holder's warrants (the "Outstanding Warrants") shall, in accordance with the terms and conditions of the Outstanding Warrant be converted without any action on the part of the holder thereof into the right to receive Merger Consideration upon the exercise of such holder's warrants in accordance with the warrant agreement(s).
Only whole shares of Company Common Stock shall be issued upon exercise of any Outstanding Option or Outstanding Warrant, and no certificates or scrip representing fractional shares of Company Common Stock and no cash in lieu of fractional shares shall be issued upon such exercise.
