Outbound License definition

Outbound License is defined in Section 3.8(c) of the Agreement.
Outbound License means any Contract pursuant to which any Person has been granted any rights to access or use any Company Products or Company Technology, or that contains any assignment or license of, or any covenant not to assert or enforce, any Company IPR.
Outbound License means any Contract, covenant not to ▇▇▇, settlement, or forbearance pursuant to which a Company Party authorizes or otherwise permits any other Person to access or exploit Owned IP, including, in either case, any Software license (including right to access or use data), Patent license, trademark license, or any Contract pursuant to which a Person obtains a right to access or exploit any such Owned IP in the form of services, such as a software as a service Contract or a cloud services Contract.

Examples of Outbound License in a sentence

  • There is no material outstanding or, to the Company's knowledge, threatened dispute or disagreement with respect to any Inbound License Agreement or any Outbound License Agreement.

  • Neither Parent nor its Subsidiaries nor, to Parent’s Knowledge, any other party to any Parent In-bound License or Parent Out-bound License has breached or is in breach of any of its obligations under any Parent In-bound License or Parent Out-bound License.

Outbound License means any Contract pursuant to which any Person has been granted any rights to access or use any Company Products, or that contains any transfer, assignment, grant, or license of, or any covenant not to assert or enforce, any Company Technology or Company IPR (or any Intellectual Property Rights that would be Company IPR, but for such transfer, assignment, or grant).
