Other Inventions definition

Other Inventions means Inventions in which I have or may have an interest, as of the commencement of my employment or thereafter, other than Company Inventions (as defined below) and Excluded Inventions. I acknowledge and agree that if I use any Excluded Inventions or any Other Inventions in the scope of my employment, or if I include any Excluded Inventions or Other Inventions in any product or service of Company, or if my rights in any Excluded Inventions or Other Inventions may block or interfere with, or may otherwise be required for, the exercise by Company of any rights assigned to Company under this Agreement, I will immediately so notify Company in writing. Unless Company and I agree otherwise in writing as to particular Excluded Inventions or Other Inventions, I hereby grant to Company, in such circumstances (whether or not I give Company notice as required above), a non-exclusive, perpetual, transferable, fully-paid and royalty-free, irrevocable and worldwide license, with rights to sublicense through multiple levels of sublicensees, to reproduce, make derivative works of, distribute, publicly perform, and publicly display in any form or medium, whether now known or later developed, make, have made, use, sell, import, offer for sale, and exercise any and all present or future rights in, such Excluded Inventions and Other Inventions. To the extent that any third parties have rights in any such Other Inventions, I hereby represent and warrant that such third party or parties have validly and irrevocably granted to me the right to grant the license stated above.
Other Inventions means Inventions in which I have or may have an interest, as of the Effective Date or thereafter, other than Assigned Inventions and Excluded Inventions. I acknowledge and agree that if, in the scope of my employment, I use any Excluded Inventions or any Other Inventions, or if I include any Excluded Inventions or Other Inventions in any product or service of the Company or if my rights in any Excluded Inventions or Other Inventions may block or interfere with, or may otherwise be required for, the exercise by the Company of any rights assigned to the Company under this Agreement, I will immediately so notify the Company in writing. Unless the Company and I agree otherwise in writing as to particular Excluded Inventions or Other Inventions, I hereby grant to the Company, in such circumstances (whether or not I give the Company notice as required above), a perpetual, irrevocable, nonexclusive, transferable, world-wide, royalty-free license to use, disclose, make, sell, offer for sale, import, copy, distribute, modify and create works based on, perform, and display such Excluded Inventions and Other Inventions, and to sublicense third parties in one or more tiers of sublicensees with the same rights.
Other Inventions means Inventions in which I have or may have an interest, as of the Effective Date or thereafter, other than Assigned Inventions and Excluded Inventions. I agree that I will not incorporate, or permit to be incorporated, any Excluded Inventions or Other Inventions in any product or service of the Company without the Company’s prior written consent. Nonetheless, if in the course of my engagement I include or permit to be included any Excluded Inventions or Other Inventions in any product or service of the Company, I grant to the Company a perpetual, irrevocable, nonexclusive, transferable, world-wide, royalty-free license to use, disclose, make, sell, offer for sale, import, copy, distribute, modify and create works based on, perform, and display Excluded Inventions and Other Inventions, and to sublicense to third parties in one or more tiers of sublicensees with the same rights.

More Definitions of Other Inventions

Other Inventions means an invention developed or discovered solely or jointly by the parties in the course of the Research Collaboration that is not Discovery Technology, Product Technology, Production Technology, Viral Vector Technology, Transient Transformation Technology, and does not use or express Alliance Genes.
Other Inventions. (as defined in Section 8.2) would be determined by U.S. Patent Law, taking into consideration the relative contributions of the Parties to that Invention. Other Inventions means any potentially patentable invention based on the Research Results which is (i) conceived during the term of this Agreement by employees of Instit[OBJECT OMITTED]ution or Sponsor, or both, (ii) reduced to practice either during the term of this Agreement or thereafter within a period of six (6) months and (iii) not owned by Sponsor under section 5.1.
Other Inventions shall have the meaning set forth in Section 13.5.
Other Inventions means inventions in which you have or may have an interest that are not Discoveries and Work or Existing Inventions.
