Except as set forth herein, the Original Option Agreement remains unchanged and in full force and effect.
In case of any conflict between the Original Option Agreement, as amended, and the 2000 Stock Option Plan, the Original Option Agreement, as amended, shall control.
This Agreement represents the entire understanding and agreement among the parties with respect to the subject matter hereof, and supersedes all other negotiations, understandings and representations (if any) made by and among such parties, including without limitation the Original Option Agreement.
Each Reload Option shall cover a number of shares of Common Stock equal to the number of shares of Common Stock surrendered in payment of the exercise price, shall have an exercise price per share of Common Stock equal to the Fair Market Value of the Common Stock on the date of grant of such Reload Option and shall expire on the stated expiration date of the Original Option.
