ORGANIZATION STATUS. The Dealer Manager is a limited liability company duly organized, validly existing and in good standing under the laws of the State of Delaware, with all requisite power and authority to enter into this Agreement and to carry out its obligations hereunder.
ORGANIZATION STATUS. Each Credit Party (i) is duly organized, validly existing and (to the extent applicable) in good standing under the laws of the jurisdiction of its organization, (ii) has the requisite power and authority to own its property and assets and to transact the business in which it is engaged and (iii) is, to the extent such concepts are applicable under the laws of the relevant jurisdiction, duly qualified and authorized to do business and is in good standing in each jurisdiction where the ownership, leasing or operation of its property or the conduct of its business requires such qualifications except for failures to be so qualified which, individually and in the aggregate, have not had, and would not reasonably be expected to have, a Material Adverse Effect.
ORGANIZATION STATUS. The Dealer Manager is a corporation duly organized, validly existing and in good standing under the laws of the State of New York, with all requisite power and authority to enter into this Agreement and to carry out its obligations hereunder.
ORGANIZATION STATUS. The Dealer Manager is a limited liability company duly formed, validly existing and in good standing under the laws of the State of Florida, with all requisite power and authority to enter into this Agreement and to carry out its obligations hereunder.
ORGANIZATION STATUS. The Dealer Manager is a limited liability company duly organized, validly existing and in good standing under the laws of the State of California, with all requisite power and authority to enter into this Agreement and to carry out its obligations hereunder.

ORGANIZATION STATUS. The Dealer Manager is a limited liability company duly formed, validly existing and in good standing under the laws of the State of Utah, with all requisite power and authority to enter into this Agreement and to carry out its obligations hereunder.
ORGANIZATION STATUS. Borrower (i) is duly organized under the laws of the State of Florida, and (ii) is in good standing under the laws of the State of Florida, and (iii) has stock outstanding which has been duly and validly issued.
ORGANIZATION STATUS. The Selling Agent is a limited liability company duly organized, validly existing and in good standing under the laws of the State of Nevada, with all requisite power and authority to enter into this Agreement and to carry out its obligations hereunder.
