Any Special Resolutions or Ordinary Resolutions passed at a meeting of Bondholders duly convened and held in accordance with this Schedule and the Conditions shall be binding on all the Bondholders, whether or not present at the meeting, and each of them shall be bound to give effect to it accordingly.
Resolutions, actions and decisions of the Members shall be adopted, taken or made at an Ordinary Members Meeting by the affirmative vote of Members (or their representatives) representing more than 50% of the total votes of the Members ("Ordinary Resolutions").
