As a condition and inducement to the Optionholder's willingness to enter into the Purchase Agreement, the Optionholder has requested that the Shareholder agree, and the Shareholder has agreed, to grant the Optionholder the Option (as defined below).
All Option Shares acquired by the Optionholder pursuant to the exercise of Options granted pursuant to this Agreement and held by the Optionholder, the Optionholder's Estate or the Optionholder's Trust, including shares purchased upon the exercise of Options, shall be deemed to be Registrable Securities.
