Option Closing definition

Option Closing means the closing of the purchase and sale of the Option Shares pursuant to Section 2.2.

Option Closing means the closing of the transactions contemplated upon the exercise of the Over-Allotment Option;

Examples of Option Closing in a sentence

• The Option Closing Date may be simultaneous with, but not earlier than, the Closing Date; and in the event that such time and place are simultaneous with the Closing Date, the term “Closing Date” shall refer to the time and date of delivery of the Firm Shares and Option Shares.

• Any breach or failure to comply with any of the conditions set out in this Agreement shall entitle the Underwriters (or any one of them) to terminate their obligation to purchase the Offered Shares, by written notice to that effect given to the Company at or prior to the Closing Time or the Option Closing Time, as applicable.

• On the Option Closing Date, if any, the Representative shall have received the favorable opinions of each counsel listed in Sections 4.2.1 and 4.2.2, dated the Option Closing Date, addressed to the Representative and in form and substance reasonably satisfactory to the Representative, confirming as of the Option Closing Date, the statements made by such counsels in their respective opinions delivered on the Closing Date.

• On the first Option Closing Date (if any), the Company’s shares of Common Stock, including the Option Shares, shall have been approved for listing on the Exchange, subject only to official notice of issuance.

• If such delivery and payment for the Option Shares does not occur on the Closing Date, the Option Closing Date will be as set forth in the notice.
