Concurrently with the execution and delivery of this Agreement and the transaction documents related hereto, Seller and Purchaser shall execute and deliver a second asset purchase agreement pursuant to which Purchaser shall have the right, but not the obligation, to purchase Seller’s Operational Assets pursuant to the terms and conditions set forth in such agreement.
Notwithstanding the above, the Seller may continue to operate the business and Operational Assets pursuant to Section 13 herein, communicate with customers in order to collect unpaid accounts receivable and to enforce the collection of said accounts receivable thereof, as necessary, and to communicate with suppliers and other contractors to the extent necessary to negotiate and close open accounts, and to enforce the Sellers’ rights thereof, as necessary.

All Material Permits, including all material Permits relating to the Operational Assets are in full force and effect and are validly held by EQT Gathering.
