Operating Agreements definition

Operating Agreements means the management agreements, service contracts, supply contracts, leases (other than the Leases) and other agreements, if any, in effect with respect to the construction, ownership, operation, occupancy or maintenance of the Property. All of the Operating Agreements in force and effect as of the date hereof are listed on Exhibit E attached hereto.

Operating Agreements means any covenants, restrictions or agreements of record relating to the construction, operation or use of the Property.

Operating Agreements has the meaning set forth in Section 2.1.10.

Examples of Operating Agreements in a sentence

• Neither Loan Party shall cause or permit or otherwise cause or suffer to exist or become effective any contractual encumbrance or restriction of any kind (other than pursuant to this Agreement and the TIBE Operating Agreements) on the ability of any Project Company to (i) pay dividends or make any other distributions on any of such Project Company’s Equity Interests owned by the Borrower or (ii) repay or prepay any Indebtedness owed by such Project Company to the Borrower.

• At the Effective Time, the effect of the Merger shall be as provided in the applicable provisions of the LLC Act and Section 3.9 of each of the Operating Agreements.

• In the event that any Wxxxx or future wxxxx are subject to a Joint Operating Agreement with Seller or any third party as operator, Seller shall upon request of Buyer nominate and vote for Buyer to become the operator under such Joint Operating Agreement(s).

• The Borrower shall not, and neither Loan Party shall cause or permit the Project 33 Project Company to amend, amend and restate, or otherwise modify the Project 33 Operating Agreement to in connection with a tax equity transaction without the consent of the Lender (such approval not to be unreasonably withheld, conditioned or delayed as long as such tax equity transaction is substantially similar to the existing TIBE Operating Agreements).

More Definitions of Operating Agreements

Operating Agreements means all maintenance, service and supply contracts, management agreements, credit card service agreements, booking and reservation agreements, and all other contracts and agreements which are held by or for the account of Seller in connection with the operation of the Hotel, other than the Franchise Agreement, the Management Agreement, Tenant Leases, Equipment Leases, the Bookings, and Licenses and Permits.

Operating Agreements means the Administration Agreement, the Mortgage Sale Agreement, the Seller's Power of Attorney and the Mortgages Trust Deed;

Operating Agreements means, collectively, the Master Lease, the Material Subleases, and the Ground Leases.

Operating Agreements mean those agreements now or hereafter executed in connection with the operation of the Oil and Gas Properties.

Operating Agreements means (i) the Operating Agreement, dated April 28, 1978, as amended by the Modification of Operating Agreement, dated April 20, 1979, among TXU Mining and Holdings (formerly TXU Electric Company, successor to Dallas Power & Light Company, Texas Electric Service Company and Texas Power & Light Company) and the Borrower, TXU Energy Retail Company LP and TXU Generation Company LP (pursuant to the Assumption Agreement, dated December 31, 2001, by and among Holdings, the Borrower, TXU Energy Retail Company LP and TXU Generation Company LP) (“TXU Mining Operating Agreement”), and as it may be amended from time to time, or (ii) the Operating Agreement, dated December 15, 1976, between TXU Fuel and Dallas Power & Light Company, Texas Electric Service Company and Texas Power & Light Company (“TXU Fuel Operating Agreement”), as it may be amended from time to time; provided that no amendment of the TXU Mining Operating Agreement or the TXU Fuel Operating Agreement shall increase the scope of any Lien permitted under Section 5.10(j).

Operating Agreements means any management agreements, maintenance or repair contracts, service contracts, supply contracts and other agreements, if any, in effect with respect to the construction, ownership, operation, occupancy or maintenance of the Property in force and effect as of the date hereof, as more particularly set forth on EXHIBIT I attached hereto.
