Onshore Collateral Agent means Banco Monex, S.A., Institución de Banca Múltiple, Monex Grupo Financiero, in its capacity as Onshore Collateral Agent of the Finance Parties, and any successor thereto pursuant to Section 13.12.
Onshore Collateral Agent has the meaning assigned thereto in clause (viii) of the introductory paragraph to this Common Agreement.

Onshore Collateral Agent means such successor agent effective upon its appointment, and the rights, powers and duties of the former Offshore Collateral Agent or Onshore Collateral Agent, as applicable, shall be terminated, without any other or further act or deed on the part of such former Collateral Agent (except that the applicable Collateral Agent that is resigning or being removed shall deliver all Collateral then in its possession to the successor Offshore Collateral Agent or Onshore Collateral Agent, as applicable) or any of the other Secured Parties. After any Collateral Agent's resignation or removal hereunder as Offshore Collateral Agent or Onshore Collateral Agent, as applicable, the provisions of this Article IX shall inure to its benefit as to any actions taken or omitted to be taken by it while it was Offshore Collateral Agent or Onshore Collateral Agent, as applicable.
Onshore Collateral Agent means Banco Nacional de México, S.A., Integrante del Grupo Financiero Banamex, División Fiduciaria in its capacity as onshore collateral agent under any of the Collateral Documents, or any successor onshore collateral agent appointed.

Onshore Collateral Agent means PT Bank Danamon Indonesia Tbk., in its capacity as collateral agent under and in respect of the Onshore Security Documents “Original Technical Consultant Report” means the report issued by the Technical Consultant in relation to the operational condition of the Group and the impact of IMNV on the Group’s business on 7 November 2009. “Panganpertiwi” means PT Central Panganpertiwi, a company incorporated under the laws of the Republic of Indonesia. “Panganpertiwi Powers of Attorney” means, together: (a) the power of attorney to vote shares; and (b) the power of attorney to sell shares; in each case, dated 28 June 2007 and granted by the Parent in favour of the Onshore Collateral Agent in relation to the Panganpertiwi Share Pledge. “Panganpertiwi Share Pledge” means the pledge of the entire issued share capital of Panganpertiwi dated 28 June 2007 between the Parent, Panganpertiwi and the Onshore Collateral Agent. “Parent” means PT Central Proteinaprima Tbk., a company incorporated under the laws of the Republic of Indonesia. “Parent Advance Purchase Agreement” means the advance purchase agreement dated 15 June 2007 between the Scheme Company and the Parent. “Parent Board” means the board of directors of the Parent from time to time. “Person” means any natural person, corporation, limited or unlimited liability company, trust, joint venture, association, corporation, partnership, Governmental Entity or other entity whatsoever. “Post” delivery by pre-paid first class post or air mail or generally recognised commercial courier service, and “Posted” shall be construed accordingly. “Powers of Attorney” means: (a) in relation to the CPB Share Pledge, the CPB Powers of Attorney; (b) in relation to the CWS Share Pledge, the CWS Powers of Attorney; (c) in relation to the Marindolab Share Pledge, the Marindolab Powers of Attorney; and (d) in relation to the Panganpertiwi Share Pledge, the Panganpertiwi Powers of Attorney; and “Power of Attorney” means any one of them. “PPA” means PT Perusahaan Pengelola Asset (Persero), the state asset management company of the Republic of Indonesia. “Proceeding” means any process, suit, action, legal or other legal proceeding including without limitation any arbitration, mediation, alternative dispute resolution, judicial review, adjudication, demand, execution, distraint, forfeiture, re-entry, seizure, lien, enforcement of judgment, enforcement of any security or Insolvency Proceedings in any jurisdiction.

Onshore Collateral Agent means such successor agent effective upon its appointment, and the former Offshore Collateral Agent’s or the Onshore Collateral Agent’s, as applicable, rights, powers and duties as Offshore Collateral Agent or the Onshore Collateral Agent shall be terminated, without any other or further act or deed on the part of such former Offshore Collateral Agent or the Onshore Collateral Agent (except that the former Offshore Collateral Agent and the Onshore Collateral Agent shall deliver all Collateral then in its possession to the successor Offshore Collateral Agent or the Onshore Collateral Agent, as applicable) or any of the other Secured Parties. After resignation or removal hereunder as Offshore Collateral Agent or the Onshore Collateral Agent, as applicable, the provisions of this Agreement shall continue to inure to the former Offshore Collateral Agent’s or the Onshore Collateral Agent’s benefit as to any actions taken or omitted to be taken by it while it was Offshore Collateral Agent or the Onshore Collateral Agent. The fees payable by the Borrower to a successor Collateral Agent shall be same as those payable to its predecessor unless otherwise agreed between the Borrower and such successor.
