Notwithstanding the foregoing, the provisions of Sections 4(i) (Ongoing Obligations), 5 (Indemnification), 6 (Proprietary Information Obligations), 7 (Noninterference), 8 (Injunctive Relief), and 10 (Miscellaneous) shall survive the termination of this Agreement.
This Release constitutes the entire agreement between the Executive and the Company and/or any affiliate of the Company and supersedes any previous agreements or understandings between the Executive and the Company and/or any affiliate of the Company, except the Ongoing Obligations, which shall remain in full effect.
Any breach of this Agreement by the Company shall not constitute a defense to enforcement of any provision of the Ongoing Obligations.
The Ongoing Obligations are intended to facilitate good faith negotiation and resolution of issues arising from changes in circumstances during the Term, but any failure to comply with the Ongoing Obligations is to be addressed through the Dispute Resolution Procedures and shall not give rise to a right to terminate this Agreement.
To facilitate the Ongoing Obligations, the Parties shall designate Party Representatives as provided in this Section 8.01(b) to act as representatives of the Licensees that appoint them hereunder, on the one hand, and Clearwire, on the other hand, with respect to the all matters under this Agreement and in particular with respect to matters governed by Section 8.06.
