Except as herein amended, each Operating Agreement shall remain in full force and effect and this Omnibus Amendment shall be incorporated therein and made part thereof.
Capitalized terms used in this Omnibus Amendment and not otherwise defined herein shall have the meanings assigned thereto in Appendix A to the Sale and Servicing Agreement, as amended hereby.
