Offshore Fund definition

Offshore Fund means The EndowmentSalient Private Access Offshore TEI Fund, Ltd., a Cayman Islands exempted company limited by shares, of which the TEI Fund is the sole management member and which has the same investment objectives as the TEI Fund.
