Offeror Group means Offeror and its subsidiary undertakings.

Examples of Offeror Group in a sentence

• Finco is the borrower under the PIK Facility Agreement and will lend funds which it receives pursuant to the PIK Facility Agreement to the Offeror in order to fund the cash consideration due in connection with the Acquisition (the "Offeror Group Loan").

• None of the members of the Offeror Group has traded since the date of its incorporation nor entered into any obligations other than in connection with the Acquisition and its financing.

• As at the date of this Announcement, the Offeror Group comprises the Offeror, Midco and Finco.

• Please refer to Appendix 4 to this Announcement for further information in respect of the Offeror Group.

More Definitions of Offeror Group

Offeror Group means Offeror and its subsidiaries and subsidiary undertakings;

Offeror Group means SailPoint and its direct and indirect subsidiary undertakings, including the Offeror;

Offeror Group means each of the Investors, each Intermediate Holding Company and Bidco and member of the Offeror Group shall be construed accordingly; Panel means the UK Panel on Takeovers and Mergers;

Offeror Group means Allied Universal and its Group; “Panel” means the Panel on Takeovers and Mergers; “Payment Event” has the meaning given in Clause 9.1;

Offeror Group means GBT and its subsidiary undertakings and member of the Offeror Group shall be construed accordingly; Panel means the UK Panel on Takeovers and Mergers;
