Offering Plan definition

Offering Plan shall have the meaning as set forth in Section 4.1.40.
Offering Plan means an offering plan or “red herring” issued in connection with the marketing and sale of securities appurtenant to units in a Coop/Condominium constructed or otherwise included in the Proposed Development.
Offering Plan means that certain Condominium Offering Plan (File No. CD18-0179) for the sale of Units in the Condominium, which has been accepted for filing by the Attorney General and declared effective prior to the Closing Date, as the same has been amended by (i) that certain First Amendment to Condominium Offering Plan for ▇▇ ▇▇▇▇▇▇▇▇▇ ▇▇▇▇▇▇ dated June 24, 2019, (ii) that certain Second Amendment to Condominium Offering Plan for ▇▇ ▇▇▇▇▇▇▇▇▇ ▇▇▇▇▇▇ dated September 5, 2019, (iii) that certain Third Amendment to Condominium Offering Plan for ▇▇ ▇▇▇▇▇▇▇▇▇ ▇▇▇▇▇▇ dated June 25, 2020, (iv) that certain Fourth Amendment to Condominium Offering Plan for ▇▇ ▇▇▇▇▇▇▇▇▇ ▇▇▇▇▇▇ dated January 21, 2021, (v) that certain Fifth Amendment to Condominium Offering Plan for ▇▇ ▇▇▇▇▇▇▇▇▇ ▇▇▇▇▇▇ dated June 11, 2021, (vi) that certain Sixth Amendment to Condominium Offering Plan for ▇▇ ▇▇▇▇▇▇▇▇▇ ▇▇▇▇▇▇ dated June 25, 2021, and (vii) that certain Seventh Amendment to Condominium Offering Plan for ▇▇ ▇▇▇▇▇▇▇▇▇ ▇▇▇▇▇▇ dated October 1, 2021, and as the same may be further amended, restated or modified from time to time pursuant to Section 16.1.

Examples of Offering Plan in a sentence

  • Upon execution of the new product schedule and the New Product Offering Plan, the New Product will become a Financial Product and the product schedule will become a Product Schedule, covered by the Program and subject to the terms of this Agreement.

  • If Lender disapproves any requested amendments or modifications to the Offering Plan or any of the other Condominium Documents, Lender shall provide Borrower with a reasonably detailed explanation for Lender’s disapproval thereof, and Borrower shall then re-submit revised drafts of the same to Lender as soon as reasonably practicable.

More Definitions of Offering Plan

Offering Plan means any plan by Upper or its successors in interest to offer Subdivided One Units for sale pursuant to Article 23-A of the New York State General Business Law and the rules and regulations of the New York State Department of Law promulgated in connection therewith.
Offering Plan means an Offering Plan or prospectus of cooperative interests in realty for a particular property either submitted to or accepted for filing by the Department of Law pursuant to the G.B.L. and applicable regulations.
