Offered Employee definition

Offered Employee has the meaning specified in Section 6.10(a).

Examples of Offered Employee in a sentence

• As of the Closing Date, the Sellers shall terminate the employment of each Offered Employee and shall cooperate with, and use their commercially reasonable efforts to assist, Buyer with Buyer’s hiring of such Offered Employees.

• Such offers shall be for employment with substantially the same title and position, and with (i) a base pay or salary rate at least equal to the base pay or salary rate as in effect with respect to each such Offered Employee immediately prior to the Closing Date and (ii) bonus opportunities and employee benefits no less favorable in the aggregate than the bonus opportunities and employee benefits offered or provided to similarly situated employees of Regency and its Affiliates.

• For a period of one year following an acceptance of an offer of employment, Buyer shall provide each Offered Employee, or shall cause to be provided, compensation and employee benefits which are no less favorable, in the aggregate, than the compensation and benefits provided by Buyer to similarly situated employees of Buyer and its Affiliates.

• An Offered Employee who accepts an offer will become an employee of Purchaser on the day such person reports to work for the Purchaser if such person reports to work for Purchaser as provided in the offer of employment (each a “Hired Employee”).

• All offers shall be at initial wages and benefits that are substantially comparable in the aggregate (excluding equity compensation and, with respect to any Employee with a separate or individually negotiated arrangement, severance benefits) to the aggregate benefits in effect for such Offered Employee immediately prior to Closing (excluding equity compensation and severance benefits, if applicable).

More Definitions of Offered Employee

Offered Employee means any Business Employee who is not a Transferred Entity Employee.
