As of the Closing Date, the Sellers shall terminate the employment of each Offered Employee and shall cooperate with, and use their commercially reasonable efforts to assist, Buyer with Buyer’s hiring of such Offered Employees.
Each Offered Employee who accepts such offer shall be deemed a “Transferred Employee”).
