OC Ratio definition

OC Ratio means, as of any Business Day, the ratio of (a) the sum of (i) the Borrowing Base plus (ii) the Implied Equity in connection with any acquisition of Collateral Loans for which the Borrower has entered into a binding commitment to acquire that have not yet settled to (b) the OC Ratio Denominator.
