The Company shall reimburse each Observer referenced in this Section 3.3 for all reasonable out-of-pocket travel expenses incurred (consistent with the Company’s travel policy) in connection with attending meetings of the Board of Directors.
In no event shall the Observer (i) have the right to propose or offer any motions or resolutions to the Board of Directors or committees and subcommittees thereof; or (ii) have the right to vote on any matter under consideration by the Board of Directors or any committees and subcommittees thereof or otherwise have any power to cause the Company to take, or not to take, any action.
The Observer will be entitled to be present in person or by means of telephone conference or other communications equipment by means of which all persons participating in the meeting can hear each other and will be entitled to participate in all discussions conducted at such meeting, but the presence of the Observer shall not be required for purposes of establishing a quorum.
