The Observer shall use reasonable care to protect Parent’s confidential and proprietary information, shall be subject to Parent’s Code of Business Conduct and Ethics (as may be amended from time to time) to the same extent as a Director, and shall hold in confidence and trust and | not disclose (except as required by Law) any information provided to or learned by the Observer in such capacity.
For the avoidance of doubt, the Parties agree and acknowledge that the Observer shall not be entitled to any compensation in its capacity as an Observer.
Commencing on the date of appointment and for so long as any Seller Nominated Person serves on the Board, Parent shall (i) cause the Seller Nominated Person to be covered by Parent’s D&O insurance and (ii) enter into an indemnification agreement with the Seller Nominated Person and Observer, in substantially the form entered into with the other Directors or observers, if any, as applicable.
