Buyer and Seller shall cooperate with the CPA Firm during its resolution of the disagreement and make readily available to the CPA Firm all relevant personnel involved in the preparation of the Earnout Statement, the Calculations or the Calculation Objection Notice, as applicable, and any books and records reasonably related to the amounts set forth in the Earnout Statement and the Calculation Objection Notice and all other items reasonably requested by the CPA Firm in connection therewith.
If the parties, for any reason, are unable to successfully resolve the issues raised in such notice within 30 calendar days after receipt by the Parent of the Early Termination Objection Notice, the Parent and a Principal shall employ the Reconciliation Procedures as described in Section 7.09 of this Agreement.
