No ink-original Notice of Exercise shall be required, nor shall any medallion guarantee (or other type of guarantee or notarization) of any Notice of Exercise be required.
In the case of each Borrowing, each Appropriate Lender shall make the amount of its Loan available to the Administrative Agent (in the case of Term Loans) and the Revolving Agent (in the case of Revolving Loans)in Same Day Funds, through its relevant Lending Office, at the Applicable Agent’s Office not later than 1:00 p.m. on the Business Day specified in the applicable Committed Loan Notice.
If the Borrower fails to specify a Type of Loan in a Committed Loan Notice or fails to give a timely notice requesting a conversion or continuation, then the applicable Term Loans or Revolving Loans shall be made as, or converted to, Base Rate Loans.
The Auction Agent will promptly provide each Appropriate Lender with a copy of such Specified Discount Prepayment Notice and a form of the Specified Discount Prepayment Response to be completed and returned by each such Term Lender to the Auction Agent (or its delegate) by no later than 5:00 p.m. on the third Business Day after the date of delivery of such notice to such Lenders (or such later date specified therein) (the “Specified Discount Prepayment Response Date”).
Each telephonic notice by the Borrower permitted pursuant to this Section 2.02(a) must be confirmed promptly by delivery (including via email) to the Revolving Agent (in the case of Revolving Loans) of a written Committed Loan Notice (and will not be effective until so confirmed), appropriately completed and signed by a Responsible Officer of the Borrower.
